1. Who these terms are between
These terms apply between Web Design Witney of Witney, Oxfordshire (“we”, “us”) and the client engaging our services (“you”).
2. Services
We provide website design, build, hosting, maintenance and support as set out in the proposal or plan you accept. The specific pages, features and inclusions for your project are defined in that proposal.
3. Pay-monthly plans
- Pay-monthly plans carry a minimum term of 12 months from the date your website goes live.
- After the minimum term the plan continues month to month and may be cancelled by either party with 30 days’ written notice.
- Fees are payable monthly in advance. All prices exclude VAT, which is charged at the prevailing rate where applicable.
- Included monthly change time is not cumulative and does not roll over into the following month.
- We may review plan pricing annually and will give at least 30 days’ notice of any increase.
4. Ownership
- You own your domain name, and all content, images, logos and materials you supply to us. You retain that ownership throughout and after our engagement.
- On a pay-monthly plan, we retain ownership of the website design and code for as long as the plan is active. This is what allows us to provide the service without an upfront build fee.
- After the minimum term you may purchase the site outright. We will quote a buy-out figure on request and, once paid, transfer ownership of the design and code to you.
- On a one-off build, ownership of the design and code transfers to you on final payment.
- You confirm that you have the right to use any content, images or trade marks you supply, and that doing so does not infringe anyone else’s rights.
5. Your responsibilities
- Providing content, images and feedback within a reasonable time. Projects delayed by more than 60 days awaiting your material may be paused and rescheduled.
- Ensuring information you ask us to publish is accurate and lawful.
- Keeping any account credentials we provide secure.
6. Hosting and availability
We aim for high availability but cannot guarantee uninterrupted service. Planned maintenance will be notified in advance where practical. We are not liable for outages caused by third-party providers, network failures or events beyond our reasonable control.
We take daily backups and retain them for 30 days. You are encouraged to keep your own copies of any material you consider irreplaceable.
7. Acceptable use
Websites we host must not be used for unlawful content, malware, spam, or material that infringes the rights of others. We may suspend a site that breaches this, and will tell you why.
8. Cancellation and termination
- You may cancel after the minimum term with 30 days’ written notice. No exit fee applies.
- If you cancel within the minimum term, the remaining months of that term become payable, as the build cost was carried by us upfront.
- We may suspend services where fees remain unpaid 14 days after the due date, having given you notice.
- On termination we will provide your domain, your content and an export of your site.
9. Liability
We provide our services with reasonable care and skill. To the extent permitted by law, our total liability arising from our services is limited to the fees you have paid us in the 12 months preceding the claim. We are not liable for loss of profit, business or anticipated savings.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
10. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
